With the cooperation from companies, we will make an in-depth audit on historical data and documentation, managers’ background, market risk, management risk, technology risk and financial risk of the target company, so as to let buyers understand all the circumstances of shares or assets they want to acquire. From the perspective of buyers, due diligence is a risk management. For buyers and their financiers, the acquisition has a variety of inherent risks, such as the accuracy of past financial books in the target company, whether key employees, suppliers and customers in the target company will be retained after acquisition, whether there are any obligations that could cause the disintegration of target company operation or financial operation. Thus, buyers need to conduct the due diligence and make remedy of the imbalance in information cognition between buyers and sellers. Once they identify what are the risks and legal issues through due diligence, buyers and sellers can negotiate on which party shall shoulder risks and obligations, at the same time the buyers can decide under which conditions they will continue the acquisitions.
